These terms govern your use of processminer.com and the content, materials, and forms available on it (the “Site”). The Site is operated by ProcessMiner, Inc. (“ProcessMiner,” “we,” “us”).
By using the Site, you agree to these terms. If you do not agree, do not use the Site.
What these terms do and do not cover
These terms cover the Site only.
Access to the ProcessMiner platform (“the Platform”) is governed by a separate written agreement between ProcessMiner and the customer organization — typically a Master Services Agreement and order form, together with any applicable data processing agreement. Nothing on this Site modifies, replaces, or adds to that agreement. If there is a conflict between these terms and a signed customer agreement, the signed agreement controls for anything relating to the Platform.
Using the Site
You may use the Site for lawful business purposes: to learn about our products, request information, download materials we make available, and contact us.
You agree not to:
- Use the Site in violation of any applicable law or regulation
- Attempt to gain unauthorized access to the Site, our systems, or any account
- Interfere with or disrupt the Site, including by introducing malware or overloading our infrastructure
- Scrape, crawl, or harvest content or contact information by automated means, except by a search engine indexing the Site in the ordinary way
- Reverse engineer, decompile, or attempt to derive source code from anything made available on the Site
- Use our content, product names, or brand to imply endorsement or a relationship that does not exist
- Submit false information, or submit another person’s information without their permission
We may restrict or terminate access to the Site at any time, for any reason, without notice.
Intellectual property
The Site and its contents (text, graphics, images, video, diagrams, software, page design, and the selection and arrangement of all of it) are owned by ProcessMiner or our licensors and are protected by copyright, trademark, and other laws.
“ProcessMiner,” our logo, and our product names are our trademarks. Other marks appearing on the Site belong to their respective owners and are used for identification only; their appearance does not imply any affiliation or endorsement.
You may view, download, and print Site content for your own internal business evaluation, provided you do not remove any proprietary notices. Any other use (republication, redistribution, modification, commercial use, or incorporation into another product or service) requires our prior written permission.
If we make a document, template, or other resource available for download and it includes its own license or usage terms, those terms apply to that resource.
Content, claims, and forward-looking statements
We work to keep the Site accurate and current, but content is provided for general information. Product descriptions, capability statements, roadmap references, and performance figures are illustrative and are not a warranty, guarantee, or commitment.
Results described on the Site, including efficiency, quality, yield, energy, and cost outcomes, reflect specific customer deployments under specific operating conditions. Your results will depend on your process, data quality and availability, equipment, instrumentation, staffing, and how the Platform is configured and used. We do not promise that any particular result will be achieved in your operation.
Nothing on the Site is engineering, safety, regulatory, financial, or legal advice, and it is not a substitute for the judgment of qualified personnel. Decisions about the operation of industrial equipment remain yours.
We may change, suspend, or remove Site content at any time without notice.
Submissions and feedback
If you send us questions, comments, suggestions, or ideas about our products or the Site, you grant us a non-exclusive, worldwide, royalty-free, perpetual right to use them without restriction, obligation, or compensation to you. Do not send us confidential information through the Site or by email. Use the channels set out in your agreement with us for anything confidential.
When you submit a form, you confirm the information you provide is accurate and that you are authorized to provide it. How we handle personal information submitted through the Site is described in our Privacy Policy.
Third-party links and content
The Site links to third-party websites and may reference third-party products, reports, or publications. We do not control those resources, do not endorse them by linking to them, and are not responsible for their content, accuracy, or practices. Accessing them is at your own risk and subject to their terms.
No warranty
The Site is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement.
We do not warrant that the Site will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Site or the servers that make it available are free of harmful components.
This section applies to the Site. Warranties relating to the Platform, if any, are set out in the applicable customer agreement.
Limitation of liability
To the fullest extent permitted by law, ProcessMiner and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, business, or goodwill, arising out of or relating to your use of or inability to use the Site, whether based in contract, tort, negligence, strict liability, or any other theory, and even if we have been advised of the possibility of such damages.
Our total aggregate liability arising out of or relating to the Site will not exceed one hundred US dollars ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so parts of this section may not apply to you.
Indemnification
You agree to indemnify and hold harmless ProcessMiner and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of your use of the Site, your violation of these terms, or your violation of any law or the rights of a third party.
Export controls and sanctions
You may not access or use the Site in violation of US export control or sanctions laws. You confirm you are not located in, and are not a national or resident of, a country or region subject to comprehensive US sanctions, and that you are not on any US government restricted-party list.
Governing law and disputes
These terms are governed by the laws of the State of Georgia, United States, without regard to its conflict of laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Any dispute arising out of or relating to these terms or the Site will be brought exclusively in the state or federal courts located in Fulton County, Georgia, and you consent to the personal jurisdiction of those courts. Each party waives any right to a jury trial. Each party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
Changes to these terms
We may update these terms from time to time. The “last updated” date at the top reflects the current version. Changes take effect when posted. Continued use of the Site after a change means you accept the revised terms.
General
If any provision of these terms is found unenforceable, the rest remain in effect and the unenforceable provision will be applied to the maximum extent permitted. Our failure to enforce a provision is not a waiver of it. You may not assign these terms; we may assign them in connection with a merger, acquisition, or sale of assets. These terms, together with our Privacy Policy, are the entire agreement between you and ProcessMiner regarding the Site.
